Please read these Terms & Conditions (“Terms”) carefully before accessing or using our website (www.growthvine.com) (“Website”) or any mobile applications, tools, features, or online services (collectively, the “Platform”).

By accessing or using the Platform, creating an account, or sharing any information with us, You (“User”, “Client”, “You”, “Your”) acknowledge that You have read, understood, and agree to be bound by these Terms and Our Privacy Policy.

If You do not agree with any part of these Terms, please discontinue use of the Platform immediately.

Growthvine Capital reserves the right to revise or update these Terms at any time. Updated versions will be published on the Platform and shall be effective immediately. Continued use of the Platform constitutes acceptance of such revisions.

1. Platform & Services

Growthvine Capital provides access to technology-enabled wealth and investment-related services (“Services”), which may include but are not limited to:

• Investment advisory services permitted under SEBI (Investment Advisers) Regulations, 2013 (as applicable).
  
• Portfolio reviews, goal planning, and recommendations based on Your risk profile and financial objectives.
  
• Execution support for investments in mutual funds, bonds, PMS, AIFs, and other financial instruments via authorised third-party platforms/partners.
  
• Facilitation of purchase, redemption, modification, or switching of mutual fund units and market-linked instruments.
  
• Assistance with non-financial transactions such as KYC updates, bank updates, and investor detail modifications with AMCs/RTAs.
  
• Provision of scheme-related information, research content, tools, calculators, and performance analytics.
  
• Any other ancillary or related services introduced from time to time.
  

All investment decisions are solely Yours. Growthvine does not guarantee returns, profits, capital safety, or future performance.

2. Compliance & Eligibility

By accessing or using the Platform, You confirm that:

• You are an individual resident of India and are legally competent to enter into a binding contract under the Indian Contract Act, 1872.
  
• All information provided during onboarding or use of the Platform is true, complete, and accurate.
  
• All investments made through the Platform originate from Your own verified bank account and from lawful sources.
  
• You will comply with all applicable laws, including SEBI, RBI, PMLA, and Income-tax regulations.
  
• Growthvine will not be responsible for any incorrect, misleading, or fraudulent information submitted by You.
  

3. Registration & Account Security

To use our Services, You may be required to register using Your mobile number and/or email.

You agree that:

• You are solely responsible for maintaining the confidentiality of Your login credentials.
  
• Any action performed through Your account shall be deemed to be authorized by You.
  
• You must immediately notify us at support@growthvine.in in case of unauthorized access or suspected security breach.

Growthvine is not liable for losses arising from misuse, theft, or compromise of Your login credentials.

4. Provision of Services & Investment Risks

By using Our Platform, You acknowledge and agree that:

• Any illustration, graph, research opinion, or recommendation is for informational purposes and does not guarantee returns.
  
• Investment execution is subject to AMC cut-off timings, banking delays, and market conditions—factors beyond our control.
  
• Banks/payment gateways may levy charges; Growthvine does not control or add to such charges.
  
• You should always read the Scheme Information Document (SID), Key Information Memorandum (KIM), offer documents, and disclaimers before investing.
  
• You should seek independent legal, tax, or accounting advice wherever necessary.

5. Access to Third-Party Platforms

You authorize Growthvine to share, retrieve, and process Your information with:

• Asset Management Companies (AMCs)
  
• Registrar & Transfer Agents (RTAs)
  
• KYC Registration Agencies (KRA)
  
• Payment gateways
  
• Technology partners or service providers
  

Such sharing is executed strictly to deliver the Services You have opted for.

These third parties may have their own terms, policies, and disclaimers, which You may be independently bound by.

6. Use of Information Within Growthvine Group

You consent to Growthvine using, sharing, or processing Your information within its group entities, affiliates, partners, and service providers solely for the purpose of delivering contracted Services and regulatory compliance.

7. Intellectual Property

All Platform content, including text, graphics, designs, videos, reports, tools, software, and other material, is the exclusive property of Growthvine Capital.

You may not copy, modify, reproduce, republish, sell, or distribute any content without prior written approval.

8. Indemnity

You agree to indemnify, defend, and hold harmless Growthvine, its directors, officers, employees, and partners from all claims, losses, liabilities, and expenses arising out of:

• Your misuse of the Platform
  
• Breach of these Terms
  
• Submission of false or fraudulent information
  
• Losses arising from your investment decisions

9. Limitation of Liability

Growthvine shall not be liable for:

• Delays or failures by banks, AMCs, RTAs, KRAs, or third-party platforms.
  
• Incorrect or incomplete instructions initiated by You.
  
• Losses arising from market volatility, economic conditions, or investment risks.
  
• Platform downtime, technical errors, interruptions, malware, or unauthorized access.
  
• Typographical, clerical, or data-processing errors.
  

All investments are subject to market risks. Past performance is not indicative of future results.

10. Arbitration

Any dispute arising under these Terms shall be resolved by a sole arbitrator appointed by Growthvine in accordance with the Arbitration & Conciliation Act, 1996.

• The award of the arbitrator shall be final and binding.

11. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.
Courts in Gurgaon, Haryana shall have exclusive jurisdiction over any disputes.

12. Severability

If any provision of these Terms is found invalid or unenforceable, such part shall be replaced by a legally enforceable alternative without affecting the remainder of the Terms.

13. Termination

• You may terminate/ delete your account through the Platform at any time.
• Growthvine may suspend or terminate your access for regulatory, compliance, or security reasons.
• Post-termination, Growthvine may retain your transaction data in compliance with statutory requirements.
• Account termination will not affect Your existing investments, which will continue to remain with the respective AMCs/RTAs.

14. Force Majeure

Growthvine shall not be responsible for any failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, system outages, cyber-attacks, strikes, government actions, or network failures.

15. Assignment

Growthvine may assign or subcontract its rights and obligations under these Terms.
You may not transfer or assign Your rights without prior written approval.
